Creating an offline negotiation
There are two ways to create an offline negotiation in CreateiQ. The first is to create one using a new negotiation and the second is to use an existing negotiation.
After marking a negotiation as offline, you can update your election choices ready to download the document to send to your counterparty. External comment options will disappear but Approvals and Internal comments remain available to you during this process.
  1. To start an offline negotiation select your chosen document and start a new negotiation.
  1. Select your entity and counterparty entity at the top of the screen.
  1. Click on the Switch to Offline icon in the bottom left corner of the page, followed by Confirm to offline to proceed.
  1. Update each of your elections to reflect the provisions you wish to send to your counterparty.
  1. Click the Download document button at the top of the page. This can be sent to your counterparty and the negotiation can progress via email.

💡 You can create multiple offline negotiations at the same time for the same document by adding more than one counterparty.
How to convert an online negotiation into an offline negotiation
Where you have sent an invitation to a counterparty who does not wish to negotiate on the platform, you can convert the sent invitation to an offline negotiation.
  1. From the Active negotiations page, locate and click on the sent invitation.
  1. Click Recall document under the progress bar followed by Confirm.
  1. On the Active negotiations page, open the draft negotiation and click on the Switch to Offline icon in the bottom left corner of the page, followed by Confirm to offline to proceed.
  1. Click the Download document button at the top of the page. This can be sent to your counterparty and the negotiation can progress via email.
💡 Remember that you can't switch your negotiation to offline mode if it has been opened and unlocked by the counterparty.
Completing an offline negotiation
Once your negotiation has been executed offline with your counterparty you can update the draft offline negotiation on CreateiQ with your finalised agreed terms and upload your signature pages.
  1. Once you have updated all mandatory elections with your agreed positions, click Confirm at the top right of the page to confirm your election choices. Followed by Yes to progress to signing.
  1. Once the document has been signed offline, you can upload the signed signature pages for both yourself and your counterparty and click Generate executed copy, followed by Confirm to complete the offline negotiation.
  1. You can also upload your negotiation in full and have the option to upload any additional documents that accompany your negotiation.
Have you heard about CiQ Extract? This feature can be used to upload contracts which originated from a template on CreateiQ but have been negotiated and finalised outside of the CreateiQ platform. Customers can extract provisions from the offline executed negotiation, which can be saved in digital format on CreateiQ. 💡 Selecting confirm will finalise your negotiation so we recommend waiting until all terms have been agreed and signatures obtained before confirming.
💡 Note that once you've marked a negotiation as offline it can't then be converted back to an online negotiation.
